NO PURCHASE OR PAYMENT OF MONEY IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE OR PAYMENT OF MONEY WILL NOT IMPROVE THE CHANCES OF WINNING.

The “Hall of Fame” Sweepstakes (the “Sweepstakes”) is intended for legal residents of the United States of America and Canada and shall only be construed and evaluated according to applicable U.S. law, Canadian law, and applicable state/province law. Do not enter this Sweepstakes if you are not located in the United States or Canada or are otherwise ineligible to enter in accordance with these Official Rules at the time of entry.

SPONSOR/ADMINISTRATOR: The Sweepstakes is sponsored by Clocks and Colours (Vitaly Design Ltd.)., 102 Islington Ave Unit #9B Dock 3 & 4, Etobicoke, ON M8Z6A4 (the “Sponsor”) and administered by American Sweepstakes & Promotion Co., Inc., 300 State St. Suite 402 Rochester, NY 14614 (the “Administrator”).

ELIGIBILITY: The Sweepstakes is open to legal residents of the United States of America or Canada who are at least eighteen (18) years of age or have reached the age of majority in their respective state/province of residence at the time of entry (the “Entrants”). Employees, officers and representatives of the Sponsor, the Administrator, their respective parent companies, employees, officers, directors, subsidiaries, affiliates, distributors, sales representatives and advertising and promotional agencies, and the officers, directors, agents, and employees of each of the foregoing, and members of their immediate families (defined as including spouse, biological, adoptive and step-parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above are NOT eligible to participate in this Sweepstakes. Non-eligibility or non-compliance with any of these Official Rules will result in disqualification. Void where prohibited or restricted by law. (For the avoidance of doubt, any references in these Rules to Entrants shall also include the Entrant who is deemed the Winner (as defined below)).

AGREEMENT TO OFFICIAL RULES: By participating, Entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Sweepstakes. Winning the Prize (as defined below) is contingent upon fulfilling all requirements set forth herein.
HOW TO ENTER: The Sweepstakes begins at 12:00:01 a.m. Eastern Time (“ET”) on February 25, 2022 and ends at 11:59:59 p.m. ET on March 31, 2022 (“Sweepstakes Period”). The Sponsor’s database computer is the official time-keeping device for the Sweepstakes. During the Sweepstakes Period, Entrants can enter the Sweepstakes by completing the Sweepstakes registration form (name and email address) available at https://clocksandcolours.com (the “Website”). In addition, Entrants can receive one (1) additional entry for providing cell phone number to consent to SMS marketing. Limit one (1) registration entry per Entrant. To be valid, each entry must provide all requested information. Proof of entry information at the Website is not considered proof of delivery to or receipt by Sponsor of an entry. Entries made by any other individual or any entity, and/or originating at any other website or email address, including, but not limited to, commercial Sweepstake’s subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. The use of automated entry devices is prohibited, and no mechanically reproduced entries are allowed; all such entries are void. The Released Parties (as defined below) are not responsible for late, incomplete, delayed, undelivered, or misdirected entries. All entries become the exclusive property of Sponsor and will not be acknowledged or returned except as provided herein. All information submitted by Entrants will be treated according to Sponsor’s Privacy Policy, available at https://www.clocksandcolours.com/pages/privacy-policy. By participating in the Sweepstakes and providing your email address or any other applicable contact information, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.

GENERAL CONDITIONS: If for any reason the operation or administration of this Sweepstakes is impaired or incapable of running as planned for any reason, including but not limited to (i) infection by computer virus, bugs, (ii) tampering, unauthorized intervention, (iii) fraud, (iv) technical failures, or (v) any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes in whole or in part, at any time, without notice and award the Prize (defined below) using all non-suspect eligible entries received as of, or after (if applicable) this cancellation, termination, modification or suspension date, or in any manner that is fair and equitable and best conforms to the spirit of these Official Rules. Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be tampering or attempting to tamper with the entry process or the operation of the Sweepstakes or Sponsor’s Website; or acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE; THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON (S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to the identity of a Winner based on an email address, the winning entry will be declared by the authorized account holder of the email address associated with the registration in question. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Sweepstakes, Entrants agree to release and hold harmless the Sponsor and Administrator (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any Prize, including, but not limited to: (i) any technical errors that may prevent an Entrant from submitting an entry; (ii) unauthorized human intervention in the Sweepstakes; (iii) printing errors; (iv) errors in the administration of the Sweepstakes or the processing of entries; or (v) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt of a Prize (defined below). Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Released Parties are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to Entrant's or any other person's computer relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorney fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER.  SECTION 1542 READS AS FOLLOWS:

“CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

DRAWING AND NOTIFICATION: The potential Prize Winner will each be selected in a random drawing conducted by the Sponsor or Administrator, whose decisions are final. The Prize drawing will be conducted on or about April 1, 2022. Odds of winning the Prize will depend on the total number of eligible entries received throughout the Sweepstakes Period. The potential Winner will be contacted by the Sponsor (or Administrator) via phone, email, and/or USPS mail.
PRIZE: There will be one (1) Grand Prize. The Grand Prize Winner (“Winner”), upon the Administrator’s confirmation of eligibility, will receive a custom painting total approximate retail value (“ARV”) $ 5,000 PLUS $1,000 gift card to Clocks and Colours (“Prize” or “Grand Prize”). Total Prize Value $6,000.

NOTE #1: The painting will be shipped by the Sponsor to the Grand Prize Winner using a delivery service of the Sponsor’s selection.

All other expenses associated with Prize acceptance or usage not specifically mentioned herein are the responsibility of the Winner. No substitution of any of the Prize will be permitted, except by the Sponsor, who reserves the right at its sole discretion to substitute a Prize with another Prize of equal or greater value.

ADDITIONAL PRIZE CONDITIONS: By accepting the Prize, the Winner agrees to release and hold harmless the Released Parties, each of their related companies, and each of their respective officers, directors, employees, shareholders, and agents from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Prize in question. The potential Winner must sign and return to the Administrator, within five (5) days of the date of notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release (if U.S. resident) or a Declaration of Compliance (if Canadian resident) in order to claim his/her Prize. Note: The Affidavit sent to a US potential Winner will require that the Winner provide their Social Security Number to the Administrator, which will be used solely for tax reporting purposes. The Winner will be responsible for all local, state, and federal taxes associated with the receipt of the Prize. The Winner must note that the value of the accepted Prize is taxable as income and an IRS Form 1099 will be filed in the name of the Winner for the value of the Prize (applicable to a US Winner only). The Winner is solely responsible for all matters relating to their Prize after it is awarded. If a Prize or Prize notification is returned as unclaimed or undeliverable to the potential winner, if a potential Winner cannot be reached or does not comply with notification instructions within three (3) business days from the first notification attempt, if a potential Winner fails to return requisite document(s) within the specified time period, or if a potential Winner is not in compliance with these Official Rules, then such person shall be disqualified and, at Sponsor’s sole discretion, an alternate Winner may be selected for the Prize at issue.
Should a selected Winner be a Canadian citizen, the selected Entrant must answer correctly without assistance of any kind, whether mechanical, electronic, or otherwise, a mathematical skill-testing question posed by mail or telephone. If the selected Entrant fails to correctly answer the question, he/she will be disqualified, and another Entrant will be randomly selected. The potential Winner who correctly answers the skill-testing question will be notified by telephone and/or mail and/or email at the Sponsors’ discretion using the contact information provided at the time of entry. If the potential Winner is determined to be less than the age of majority in his/her province of residence, then the potential Winner will be disqualified, and an alternate winner will be selected in their place. 
By accepting the Prize, where permitted by law, the Winner grants to the Released Parties and those acting pursuant to the authority of Sponsor and the Released Parties (which grant will be confirmed in writing upon Sponsor’s request), the right to print, publish, broadcast and use worldwide IN ALL MEDIA without limitation at any time their full name, portrait, picture, voice, likeness and/or biographical information for advertising, trade and promotional purposes without further payment or additional consideration, and without review, approval or notification.

IN NO EVENT WILL RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF PARTICIPATION IN THIS SWEEPSTAKES OR THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE.

By participating, Entrants release and agree to hold harmless the Released Parties from any and all liability for any injuries, death or losses or damages to persons or property AS WELL AS CLAIMS/ACTIONS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY that may arise from participating in this Sweepstakes or its related activities or the acceptance, possession, use or misuse of, or any harm resulting from the acceptance, possession, use or misuse of the Prize. The Winner also acknowledges that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Prize.

DISPUTES: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants, Administrator, and Sponsor in connection with the Sweepstakes shall be governed by and construed in accordance with the laws of the Province of Ontario, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other province’s or jurisdiction’s laws.  By participating in the Sweepstakes, Entrant agrees that: (i) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, shall be resolved individually without resort to any form of class action; (ii) any judicial proceeding shall take place in a court within the Province of Ontario; (iii) any and all claims, judgments , and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event will attorney fees be awarded or recoverable; (iv) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to seek, punitive, incidental, exemplary, consequential, special damages, lost profits, other damages, and/or any rights to have damages multiplied or otherwise increased; and (v) Entrant’s remedies are limited to a claim for money damages (if any) and he/she waives any right to seek injunctive or equitable relief.

SEVERABILITY: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable, the other provisions will remain in effect and will be construed as if the invalid or unenforceable provision were not contained herein.

MISCELLANEOUS: These Official Rules contain the full and complete understanding with respect to the Sweepstakes and supersede all prior and contemporaneous agreements, representations, and understandings, whether oral or written. The headings herein are for convenience only, do not constitute a part of these Official Rules, and shall not be deemed to limit or affect any of the provisions hereof. No amendment to, or waiver of, any provision of these Official Rules shall be effective unless in writing and signed by both Sponsor and Administrator. The waiver by Sponsor or Administrator of any provision of these Official Rules shall not constitute a waiver of any other provision herein. The rights and obligations hereunder may not be assigned by Entrant, whether by operation of law or otherwise, without the prior written consent of Sponsor, and any attempted assignment in violation of the foregoing shall be null and void. These Official Rules shall be binding upon, and inure to the benefit of, the permitted successors and assigns of Sponsor, Administrator, and Entrant.

Le fait que le Sponsor n'applique pas une disposition du présent Règlement officiel ne constitue pas une renonciation à cette disposition. En cas de litige quant à l'identité d'un gagnant sur la base d'une adresse électronique, l'inscription gagnante sera déclarée par le titulaire autorisé du compte de l'adresse électronique associée à l'inscription en question. Le "titulaire autorisé du compte" est défini comme la personne physique à qui une adresse électronique est attribuée par un fournisseur d'accès Internet, un fournisseur de services en ligne ou une autre organisation (par exemple, une entreprise, un établissement d'enseignement, une institution, etc.) qui est responsable de l'attribution des adresses électroniques pour le domaine associé à l'adresse électronique soumise.

Les renonciataires n'assument aucune responsabilité en cas d'erreur, d'omission, d'interruption, de suppression, de défaut, de retard de fonctionnement ou de transmission, de défaillance des lignes de communication, de vol ou de destruction ou d'accès non autorisé aux inscriptions ou de modification de celles-ci. Les parties exonérées ne sont pas responsables des problèmes ou des défaillances techniques de tout réseau ou ligne téléphonique, des systèmes informatiques en ligne, des serveurs ou des fournisseurs, de l'équipement informatique, des logiciels, de la non-réception d'un courriel ou d'une inscription par le commanditaire en raison de problèmes techniques, d'une erreur humaine ou d'une congestion du trafic sur Internet ou sur tout site Web, ou de toute combinaison de ces éléments, y compris toute blessure ou tout dommage à l'ordinateur du participant ou de toute autre personne lié à la participation à ce concours ou au téléchargement de tout matériel dans le cadre de ce concours. Le participant accepte également que, dans toute cause d'action, la responsabilité des parties exonérées soit limitée au coût de l'inscription et de la participation au concours, et que les parties exonérées ne soient en aucun cas responsables des honoraires d'avocat. Le participant renonce au droit de réclamer tout dommage, quel qu'il soit, y compris, mais sans s'y limiter, les dommages punitifs, consécutifs, directs ou indirects.

CHAQUE PARTICIPANT COMPREND ET ACCEPTE QUE TOUS LES DROITS EN VERTU DE L'ARTICLE 1542 DU CODE CIVIL DE LA CALIFORNIE ET DE TOUTE LOI SIMILAIRE DE TOUT ÉTAT OU TERRITOIRE DES ÉTATS-UNIS FONT L'OBJET D'UNE RENONCIATION EXPRESSE DE SA PART.  L'ARTICLE 1542 EST RÉDIGÉ COMME SUIT :

"CERTAINES CRÉANCES NE SONT PAS CONCERNÉES PAR UNE DÉCHARGE GÉNÉRALE. UNE QUITTANCE GÉNÉRALE NE S'ÉTEND PAS AUX RÉCLAMATIONS DONT LE CRÉANCIER NE CONNAÎT PAS OU NE SOUPÇONNE PAS L'EXISTENCE EN SA FAVEUR AU MOMENT DE L'EXÉCUTION DE LA QUITTANCE, ET QUI, SI ELLES AVAIENT ÉTÉ CONNUES PAR LUI, AURAIENT DÛ AFFECTER MATÉRIELLEMENT SON RÈGLEMENT AVEC LE DÉBITEUR".

TIRAGE ET NOTIFICATION: Le gagnant potentiel du prix sera sélectionné lors d'un tirage au sort effectué par le sponsor ou l'administrateur, dont les décisions sont définitives. Le tirage au sort du Prix sera effectué le ou vers le 1 Avril 2022. Les chances de gagner le prix dépendront du nombre total de participations admissibles reçues pendant la période du Sweepstake. Le gagnant potentiel sera contacté par le commanditaire (ou l'administrateur) par téléphone, courriel et/ou courrier USPS.

PRIX: Il y aura un (1) grand prix. Le gagnant du grand prix (" gagnant "), après confirmation de son admissibilité par l'administrateur, recevra une peinture  personnalisée d'occasion d'une valeur au détail approximative totale (" VDA ") de 4 000 $ PLUS une carte-cadeau de 1 000 $ chez Clocks and Colours (" prix " ou " grand prix "). La valeur totale du prix est de 5 000 $.

NOTE #1: La painture sera expédié par le commanditaire au gagnant du grand prix par un service de livraison choisi par le commanditaire. Toutes les autres dépenses associées à l'acceptation ou à l'utilisation du prix qui ne sont pas spécifiquement mentionnées dans les présentes sont à la charge du gagnant. Aucune substitution du prix ne sera autorisée, sauf par le commanditaire, qui se réserve le droit, à sa seule discrétion, de remplacer un prix par un autre prix de valeur égale ou supérieure.

CONDITIONS SUPPLÉMENTAIRES DU PRIX: En acceptant le prix, le gagnant accepte de libérer et d'exonérer de toute responsabilité les parties libérées, chacune de leurs sociétés liées et chacun de leurs dirigeants, administrateurs, employés, actionnaires et agents respectifs de toute réclamation ou cause d'action découlant de la participation au Sweepstake ou de la réception ou de l'utilisation du prix en question. Le gagnant potentiel doit signer et renvoyer à l'administrateur, dans les cinq (5) jours suivant la date d'envoi de l'avis ou de la tentative d'avis, un affidavit d'admissibilité, une décharge de responsabilité et de publicité (s'il est résident des États-Unis) ou une déclaration de conformité (s'il est résident canadien) afin de réclamer son prix. Remarque : l'affidavit envoyé à un gagnant potentiel américain exigera que le gagnant fournisse son numéro de sécurité sociale à l'administrateur, lequel sera utilisé uniquement à des fins de déclaration fiscale. Le gagnant sera responsable de toutes les taxes locales, nationales et fédérales associées à la réception du prix. Le gagnant doit noter que la valeur du prix accepté est imposable en tant que revenu et qu'un formulaire 1099 de l'IRS sera rempli au nom du gagnant pour la valeur du prix (applicable à un gagnant américain uniquement). Le gagnant est seul responsable de toutes les questions relatives à son prix après son attribution. Si un prix ou une notification de prix est retourné comme non réclamé ou non livrable au gagnant potentiel, si un gagnant potentiel ne peut être joint ou ne se conforme pas aux instructions de notification dans les trois (3) jours ouvrables suivant la première tentative de notification, si un gagnant potentiel ne renvoie pas le(s) document(s) requis dans le délai spécifié, ou si un gagnant potentiel ne se conforme pas au présent règlement officiel, cette personne sera disqualifiée et, à la seule discrétion du commanditaire, un autre gagnant pourra être sélectionné pour le prix en question.

Si le gagnant sélectionné est un citoyen canadien, le participant sélectionné doit répondre correctement, sans aucune aide, qu'elle soit mécanique, électronique ou autre, à une question d'habileté mathématique posée par courrier ou par téléphone. Si le participant sélectionné ne répond pas correctement à la question, il sera disqualifié et un autre participant sera sélectionné au hasard. Le gagnant potentiel qui répond correctement à la question réglementaire sera informé par téléphone et/ou par courrier et/ou par courriel, à la discrétion des commanditaires, à l'aide des coordonnées fournies au moment de l'inscription. S'il est établi que le gagnant potentiel n'a pas atteint l'âge de la majorité dans sa province de résidence, il sera disqualifié et un autre gagnant sera sélectionné à sa place.

En acceptant le prix, lorsque la loi le permet, le gagnant accorde aux parties exonérées et à celles qui agissent sous l'autorité du commanditaire et des parties exonérées (cet accord sera confirmé par écrit à la demande du commanditaire), le droit d'imprimer, de publier, de diffuser et d'utiliser dans le monde entier, dans TOUS LES MÉDIAS, sans limitation et à tout moment, son nom complet, son portrait, sa photo, sa voix, sa ressemblance et/ou ses informations biographiques à des fins publicitaires, commerciales et promotionnelles, sans autre paiement ou contrepartie supplémentaire, et sans examen, approbation ou notification.

EN AUCUN CAS LES PARTIES LIBÉRÉES NE SERONT RESPONSABLES OU REDEVABLES DE TOUT DOMMAGE OU PERTE DE QUELQUE NATURE QUE CE SOIT (Y COMPRIS, MAIS SANS S'Y LIMITER, LES DOMMAGES DIRECTS, INDIRECTS, ACCESSOIRES, CONSÉCUTIFS OU PUNITIFS) DÉCOULANT DE LA PARTICIPATION À CE CONCOURS OU DE L'ACCEPTATION, DE LA POSSESSION, DE L'UTILISATION OU DE LA MAUVAISE UTILISATION DU PRIX, OU DE TOUT PRÉJUDICE RÉSULTANT DE L'ACCEPTATION, DE LA POSSESSION, DE L'UTILISATION OU DE LA MAUVAISE UTILISATION DU PRIX.

En participant, les participants libèrent et acceptent d'exonérer les parties exonérées de toute responsabilité en cas de blessures, de décès, de pertes ou de dommages à des personnes ou à des biens, ainsi que de réclamations ou d'actions fondées sur les droits de publicité, la diffamation et/ou l'atteinte à la vie privée qui pourraient résulter de la participation à ce concours ou à ses activités connexes ou de l'acceptation, de la possession, de l'utilisation ou de la mauvaise utilisation du prix, ou de tout préjudice résultant de l'acceptation, de la possession, de l'utilisation ou de la mauvaise utilisation du prix. Le gagnant reconnaît également que les parties libérées n'ont pas fait et ne sont en aucune façon responsables de toute garantie, représentation ou caution, expresse ou implicite, en fait ou en droit, relative au prix.

LITIGES: Tous les problèmes et toutes les questions concernant l'élaboration, la validité, l'interprétation et l'applicabilité du présent règlement officiel ou les droits et obligations des participants, de l'administrateur et du commanditaire dans le cadre du concours seront régis et interprétés conformément aux lois de la province de l'Ontario, sans donner effet à un choix de loi ou à des règles ou dispositions de conflit de lois qui entraîneraient l'application des lois d'une autre province ou juridiction.  En participant au concours, le participant accepte que : (i) tous les litiges, réclamations et causes d'action découlant de ou en relation avec le concours doivent être résolus individuellement sans recours à aucune forme de recours collectif ; (ii) toute procédure judiciaire doit avoir lieu dans un tribunal de la province de l'Ontario ; (iii) toutes les réclamations, jugements et sentences seront limités aux frais réels encourus, y compris les frais associés à la participation au concours, mais en aucun cas les honoraires d'avocat ne seront accordés ou récupérables ; (iv) en aucun cas, le participant ne sera autorisé à obtenir des récompenses pour, et le participant renonce par la présente à tout droit de réclamer des dommages punitifs, accessoires, exemplaires, consécutifs, spéciaux, des pertes de profits, d'autres dommages, et/ou tout droit de voir les dommages multipliés ou autrement augmentés ; et (v) les recours du participant sont limités à une demande de dommages-intérêts en argent (le cas échéant) et il/elle renonce à tout droit de demander une injonction ou un redressement équitable.

DIVISIBILITÉ: L'invalidité ou l'inapplicabilité de toute disposition du présent règlement officiel n'affectera pas la validité ou l'applicabilité de toute autre disposition. Si une disposition du Règlement officiel est jugée invalide ou autrement inapplicable, les autres dispositions resteront en vigueur et seront interprétées comme si la disposition invalide ou inapplicable ne figurait pas dans le présent document.

DIVERS: Le présent règlement officiel contient l'accord complet et intégral concernant le concours et remplace tous les accords, repr��sentations et ententes antérieurs et contemporains, qu'ils soient oraux ou écrits. Les titres du présent document ne sont utilisés que pour des raisons de commodité, ne constituent pas une partie du présent règlement officiel et ne doivent pas être considérés comme limitant ou affectant l'une des dispositions du présent document. Aucune modification ou renonciation à une disposition du présent règlement officiel ne sera effective si elle n'est pas écrite et signée par le sponsor et l'administrateur. La renonciation par le Sponsor ou l'Administrateur à toute disposition du présent Règlement officiel ne constitue pas une renonciation à toute autre disposition des présentes. Les droits et obligations en vertu des présentes ne peuvent être cédés par le participant, que ce soit par application de la loi ou autrement, sans le consentement écrit préalable du commanditaire, et toute tentative de cession en violation de ce qui précède sera nulle et non avenue. Le présent règlement officiel lie les successeurs et ayants droit autorisés du commanditaire, de l'administrateur et du participant et s'applique à leur profit.
